Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and WrenchDeck (“WrenchDeck,” “we,” “us”) governing your access to and use of wrenchdeck.com and the WrenchDeck application (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & account

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

2. Your content and license to us

You retain ownership of the content you upload or create in the Service (customers, vehicles, invoices, inspections, photos, notes — “Your Content”). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, back up, and display Your Content solely to operate and improve the Service for you. We do not use Your Content to train AI models and we do not sell it.

You represent that you have all rights necessary to submit Your Content, that it does not infringe any third party’s rights, and that its use in the Service will not violate any law.

3. Acceptable use

You agree not to:

• Use the Service for anything unlawful, fraudulent, or infringing.
• Upload malware, attempt to breach security, probe for vulnerabilities, reverse engineer, or interfere with the integrity of the Service.
• Scrape, mass-download, or resell the Service or its output without our written permission.
• Impersonate any person or misrepresent your affiliation.
• Upload personal data you are not authorized to process.

We may suspend or terminate accounts that violate these Terms.

4. Third-party services

The Service relies on third-party providers (including Lovable Cloud/Supabase and Google) as described in our Privacy Policy. We are not responsible for the availability, accuracy, or practices of any third-party service.

5. Fees

Some features may be offered on a paid basis. Pricing, billing cycle, and refund terms will be presented before you subscribe. Taxes are your responsibility unless stated otherwise. Fees are non-refundable except where required by law.

6. Professional-judgment disclaimer

WrenchDeck is a record-keeping tool. Inspection templates, DOT/annual inspection forms, invoice math, and similar outputs are provided as-is and do not substitute for your professional judgment or for compliance with applicable federal, state, and local regulations. You are solely responsible for the accuracy of inspections, the roadworthiness determinations you make, the invoices and estimates you send, and any regulatory filings.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRENCHDECK AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

9. Indemnity

You will indemnify and hold harmless WrenchDeck from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any law or third-party right, including the privacy rights of your own customers.

10. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure for us, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (ownership, disclaimers, limitations of liability, indemnity, governing law) will survive.

11. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes will be posted here with an updated Effective date, and where appropriate we will notify you within the Service. Your continued use after changes take effect constitutes acceptance.

12. Governing law & disputes

These Terms are governed by the laws of the State of [GOVERNING STATE], USA, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to personal jurisdiction there. Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction.

13. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and WrenchDeck concerning the Service. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
